These Terms and Conditions ("Terms") govern your access to and use of the Barter Funds platform, including our website at barterfunds.com, our mobile applications, and all related services (collectively, the "Services") operated by Barter Funds ("Barter Funds", "we", "us", or "our"). By registering an account, using any Service, or otherwise accessing the platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, KYC & AML/CFT Policy, Refund Policy, Payment Policy, Risk Disclosure, and Cookie Policy, all of which are incorporated by reference. If you do not agree, you must not use the Services.

"Account" means your registered Barter Funds account. "Digital Assets" means cryptocurrencies and other digital tokens supported on the platform. "Barter Wallet" means the stored-value balance held in your account. "Concierge Pay" means our international payment service for supplier invoices, tuition, and third-party payments. "Gift Card Redemption" means our service to exchange gift cards for local currency. "KYC" means Know Your Customer identity verification. "Payout" means a transfer of funds to your mobile money or bank account. "Transaction" means any buy, sell, send, receive, deposit, withdrawal, redemption, or concierge payment initiated on the platform.

To use the Services you must: • Be at least eighteen (18) years old and have the legal capacity to enter into binding contracts. • Provide accurate, complete, and current information at registration and keep it updated. • Complete KYC verification before transacting. • Have a valid mobile money or bank account in your own name for payouts, except where the platform explicitly permits a third-party payout. • Not be legally prohibited from using the Services in your jurisdiction. You are responsible for maintaining the confidentiality of your login credentials, passkeys, and any multi-factor authentication codes. You are fully responsible for all activity under your account and must notify us immediately of any unauthorised access. We may suspend or close an account with a name or details that are false, misleading, or used by a third party.

All users must complete KYC verification before transacting, in accordance with our KYC & AML/CFT Policy. We may, at any time, request additional information or documentation, apply transaction limits, or require re-verification. Failure to complete or maintain verification entitles us to restrict or close your account and to hold funds pending verification.

Barter Funds provides the following Services: a) Digital Asset Trading: buying, selling, sending, and receiving supported digital assets and currencies, settled to or funded from your mobile money or bank account or Barter Wallet. b) Gift Card Redemption: submission of supported gift cards (for example Amazon, iTunes, Steam) in exchange for a GHS payout, at rates and fees we determine and display before you submit. c) Concierge Pay: international payments to suppliers, educational institutions, and third-party beneficiaries on your behalf, in supported currencies, at rates and fees displayed before confirmation. d) Barter Wallet: a stored-value balance to fund transactions and receive payouts. The Wallet is not a bank account, is not insured by any deposit insurance scheme, and does not pay interest. e) Deposits & Withdrawals: funding your Wallet and withdrawing balances to your mobile money or bank account, subject to limits. f) Referral Programme: earning rewards for referring new users who transact, subject to the rules we publish. Exchange rates, fees, supported currencies, limits, and availability may change at any time and are confirmed to you before you confirm a Transaction.

You agree to pay all applicable fees displayed before you confirm a Transaction. Fees may be fixed, percentage-based, or built into the exchange rate, and vary by Service, currency, and transaction type. Full details are published on our Fees page. Fees are non-refundable except as set out in our Refund Policy. We may change fees on reasonable notice; changes take effect for Transactions confirmed after the change.

Exchange rates are determined by Barter Funds based on market data, liquidity, and operational costs. They may be set manually or derived automatically from external rate feeds. The rate confirmed at the time you place a Transaction is the rate that applies. Rates displayed are indicative only until you confirm a Transaction, and may change rapidly in response to market conditions. We are not an investment adviser and rates do not constitute a recommendation.

When you initiate a Transaction, we display the amount, currency, exchange rate, fees, payout details, and estimated processing time. By confirming, you authorise us to execute the Transaction on those terms. Once a digital asset send or a payout is dispatched to a blockchain or payment network, it is generally irreversible. We are not liable for losses arising from an incorrectly entered recipient address or account number supplied by you.

You must not use the Services to: • Engage in money laundering, terrorism financing, sanctions evasion, tax evasion, or any financial crime. • Transact with persons or jurisdictions subject to sanctions or embargoes. • Use another person's identity, account, or payout details without lawful authority. • Submit fraudulent, stolen, or unauthorised gift cards or proof of payment. • Reverse, chargeback, or dispute a Transaction without a genuine basis. • Attempt to disrupt, overload, or reverse-engineer the platform. • Use the Services for any illegal, infringing, or unauthorised purpose. Breaching this section entitles us to suspend or close your account, freeze funds, reverse Transactions, report you to authorities, and seek legal remedies.

You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of, or restrict the use of, the platform by others. You must not misuse customer support, file fraudulent disputes, or abuse the referral programme. We may take action against accounts that abuse the platform, including removal of rewards.

All content, branding, software, and materials on the platform are owned by or licensed to Barter Funds and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written consent. We grant you a limited, non-exclusive, non-transferable licence to access and use the platform for your personal, lawful use of the Services.

The Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that exchange rates or market data are accurate or timely. Digital assets are volatile and risky; see our Risk Disclosure. We are not a regulated deposit-taking institution or an investment adviser.

To the maximum extent permitted by law, neither Barter Funds nor its officers, employees, affiliates, or partners shall be liable for any indirect, incidental, consequential, special, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of or inability to use the Services. Our aggregate liability for any claim arising out of or relating to the Services shall not exceed the total fees we earned from the specific Transaction giving rise to the claim, or one hundred Ghana Cedis (GHS 100), whichever is greater. Nothing in these Terms limits liability for death or personal injury caused by our negligence, or for liability that cannot be limited by law.

You agree to indemnify and hold harmless Barter Funds and its affiliates from any claims, losses, damages, fines, and reasonable legal fees arising from your breach of these Terms, your misuse of the Services, your violation of law, or any fraud or unauthorised activity connected to your account.

We may suspend, restrict, or close your account, and freeze or reverse funds, where we reasonably suspect fraud, a breach of these Terms, a sanctions or AML/CFT concern, or where required by law. You may close your account at any time, subject to settling all outstanding Transactions and our AML retention obligations. Closure does not release you from obligations accrued before closure.

We are not liable for failure or delay in performing the Services where caused by events beyond our reasonable control, including network outages, blockchain congestion, mobile money or bank downtime, regulatory actions, natural disasters, war, or public emergencies.

Where you participate in the referral programme, you agree to the rules we publish. Rewards are paid only for genuine referrals who complete qualifying transactions. We may revoke rewards and close accounts that engage in self-referral, fake accounts, or abuse of the programme.

We may modify these Terms at any time. We will notify you of material changes by email or a prominent notice in the app. Changes take effect on the date stated (or, if none, immediately on posting) for use of the Services after that date. Continued use after the effective date constitutes acceptance.

These Terms are governed by and construed in accordance with the laws of the Republic of Ghana, without regard to conflict-of-laws principles. Before litigation, the parties agree to attempt good-faith resolution of any dispute through negotiation, and where unresolved, through mediation or arbitration administered in Accra, Ghana in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798). The courts of Ghana have jurisdiction, without prejudice to any mandatory consumer-protection rights you may have in your jurisdiction of residence.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. These Terms, together with our incorporated policies, constitute the entire agreement between you and Barter Funds regarding the Services and supersede all prior agreements.
